Meet Doug

Doug Walter has practiced law for over 35 years. His practice has spanned government service, private firm and in-house corporate positions. Most recently, Doug served as Chief Compliance Officer of Phillips 66, a Fortune 100 company that is a leading integrated downstream energy provider that manufactures, transports and markets petroleum-based products globally.

Doug is a graduate of Bucknell University and The Elisabeth Haub School of Law at Pace University. He is admitted to practice in Texas, New York and Connecticut. Through The Wallenstein Law Group, Doug is available to serve as part-time or interim Chief Compliance Office and to advise on any of is specialty areas outlines below.

Among Doug’s specialties, the following are of most interest to both domestic and international clients:

Compliance: Oversee the design, development and implementation of a comprehensive compliance program, focusing on anti-corruption, antitrust, economic sanctions and export and trade. Conduct and oversee internal investigations. Design and execute internal and external auditing procedures. Develop and implement a compliance risk assessment protocol. Conduct internal and external (third-party representatives and joint ventures) audits and risk assessments throughout the world, including Eastern Europe, Middle East, North and Sub-Sahara Africa, and Asia Pacific. Provide compliance due diligence support to mergers and acquisition activities. Review, develop and enhance new and existing compliance policies and procedures. Conduct compliance training of internal and external parties. Monitor external compliance-related developments. Liaisons with outside third-party FCPA monitor representatives. Manage outside counsel activities.

Corporate: Advise public and private companies (including offshore rig and vessel companies and offshore oil & gas companies) regarding general corporate, governance, shareholder and disclosure matters. Preparation of corporate governance documents including certificates of incorporation, bylaws, shareholder agreements, employment agreements, employee stock purchase plans, warrants and rights offerings.

 Transactional: Represent domestic and international clients in asset dispositions and acquisitions, including division and segment divestitures (offshore Gabon and Australian oil & gas properties and contractual work with French, Egyptian, Chinese and Norwegian entities). Advise companies on corporate finance transactions and debt-for-equity exchanges.

Litigation: Manage major complex litigation involving directors’ and officers’ liability, insurance coverage, bonding obligations, contract disputes, environmental and personal injury claims. Assist in responding to DOJ investigations (False Claims Act) and provide advice on FCPA (vessel contracts). Experience has included work with Canadian, Korean and German companies. Conduct bench trials. Research and prepare memoranda, briefs and related pleadings. Responsible for oversight and budgeting of outside counsel.

Although a native New Yorker, Doug and his wife, Lisa, have lived in The Woodlands, Texas for more than 30 years. They have three adult children and three dogs, Nova, Bentley and Theo. Together, Doug and Lisa enjoy international travel, reading golf and sailing.
